Special Meeting of the Membership

At the annual meeting there were three proposals made, two of which were voted upon, which required a change in the club's bylaws. The vote, however, did not comply with the bylaw requirements for changing the bylaws. The board of directors has taken the proposals and has started the procedures to allow the bylaw changes to be made if they are properly approved by the membership. Changing the bylaws must follow these rules:
- Any member of the club may propose amendments to these bylaws at any regular meeting, or a special meeting called for that purpose. (Article XIII, Section 1)
- A copy of the approved amendments has first been sent to each club member by United States Mail at least ten (10) days prior to the meeting. (Article XIII, Section 1)
- A two thirds vote of the members present at which a quorum is present shall be necessary to approve the proposed amendments. (Article XIII, Section 1)
- A special meeting of the members of the club may be held at any time upon the call of the president or upon the call of the Board of Directors, or upon demand in writing stating the object of the proposed meeting and signed by not less than twenty percent (20%) of the members entitled to vote. Notice of the time, place and object of any special meeting shall be given all officers and members in good standing in writing by mail not less than seven (7) days prior to the date fixed for the holding of the meeting. The Board of Directors shall fix the place of such special meeting. (Article IV, Section 4)
- Twenty five (25) members of the club entitled to vote shall constitute a quorum at any meeting of members. (Article IV, Section 5)
- All meetings of members and use of the club’s facilities shall be open to all members in good standing only. A member in good standing is a member whose dues are not in arrears or who is a life member, and who has not been suspended or expelled. (Article III, Section 4)
The board of directors has taken the following steps:
- Collected the proposals which are to be brought before the membership at a special meeting. There are four proposals.
- Approved the text of the proposals to be voted upon. The text can be found in the draft of the proposed bylaws.
- Called a special meeting of the members in good standing to occur at the clubhouse at 7:00 PM on Monday, 20 March 2006.
- Reviewed the text of the letter to be mailed to the membership.
- Directed the secretary, Adrian Hamilton, to mail the required documents to members in good standing by Wednesday, 1 March 2006, or as soon thereafter as possible, but in any case not later than Monday, 6 March 2006.

There are five proposals which will be voted upon separately. The exact text of the proposals can be found in the proposed bylaws on the web site, and will be mailed to the members in good standing with the notice of the special meeting. The following is a summary of the proposed changes to the bylaws.
- That temporary honorary memberships be offered to spouses of deceased members who wish to become regular club members, and that these temporary honorary memberships not be counted against the maximum number of honorary memberships allowed by the bylaws. This change is to be effective on the date the amendment is approved.
- That the maximum number of honorary memberships be set at 2% of the number of regular members. This change is to be effective on the date the amendment is approved.
- That the necessity for approval of proposed amendments by the NRA be deleted.
- That the amount of the annual dues be increased from $55.00 to $75.00. This change is to be effective on 1 January 2007.
- That the maximum number of regular members be increased from 450 to 500. This change is to be effective on the date the amendment is approved.
